Welcome to IRIS. These Terms of Service (“Terms”) govern your access to and use of the IRIS website, portal, and related services (collectively, the “Platform”).
By purchasing an IRIS artwork, activating an IRIS artwork, creating a Portal account, or using the Platform, you agree to these Terms.
If you do not agree, do not use the Platform.
1. Overview of IRIS
IRIS is a physical art collection consisting of 10,000 unique artworks. Each artwork includes:
- A hand-drawn eye artwork
- 0.4 grams of physical gold
- An embedded NFC chip
- A digital Artwork Passport
IRIS is an ownership and provenance system for physical artworks. It is not a financial product, investment instrument, or security.
No part of the Platform constitutes financial, investment, or valuation advice.
2. Purchase vs Ownership
2.1 Purchase
IRIS artworks are sold via Shopify for payment and shipping purposes only.
A purchase confirms:
- Payment
- Order processing
- Shipment
A purchase does not establish ownership within the IRIS system.
2.2 Ownership
Ownership is established only through NFC activation after physical delivery.
Ownership requires:
- Physical possession of the artwork
- NFC scan
- Portal login or registration
- Activation confirmation
Ownership becomes permanently recorded in the Artwork Passport upon successful activation.
Ownership cannot be claimed through:
- Order number
- Payment receipt
- Shopify account
- Email confirmation
- Customer support request
3. Activation Process
Each artwork contains a unique NFC chip tied to its Artwork Passport.
By scanning the NFC chip and completing activation:
- You confirm physical possession
- You confirm lawful acquisition
- You consent to permanent ownership registration
Activation is:
- One-time
- Irreversible
- Auditable
Attempted fraudulent activation may result in suspension or restriction.
4. Rarity Transparency
Each artwork has a rarity level assigned before sale.
Rarity:
- Is determined prior to public sale
- Is cryptographically committed
- Cannot be modified after lock
- Is revealed only after activation
IRIS does not:
- Reassign rarity
- Upgrade rarity
- Modify rarity upon request
Rarity does not imply financial value or future appreciation.
5. Artwork Passport
Each artwork has a digital Artwork Passport containing:
- Artwork ID
- NFC identity
- Rarity level
- Ownership history
- Activation event history
The Artwork Passport records factual events only.
The Platform does not guarantee:
- Market value
- Liquidity
- Appreciation
- Resale demand
6. Portal Accounts
Ownership records are maintained in IRIS Portal accounts.
Portal accounts are:
- Separate from Shopify accounts
- Required for activation
- Used for ownership display and history
You are responsible for:
- Securing your email access
- Maintaining accurate information
- Protecting your login credentials
7. Physical Artwork Disclaimer
IRIS artworks are physical art objects.
The embedded gold:
- Is a material artistic component
- Is not a financial instrument
- Is not sold as bullion
- Is not represented as an investment
IRIS does not guarantee:
- Gold resale value
- Art resale value
- Insurance coverage
- Market performance
8. Loss, Damage, and Transfer
If the physical artwork is lost or destroyed:
- The digital record remains historical
- Ownership cannot be transferred without NFC validation (unless future Marketplace rules apply)
Future Marketplace functionality may enable peer-to-peer transfers, subject to additional terms.
9. Prohibited Conduct
You may not:
- Attempt to duplicate NFC tokens
- Manipulate activation systems
- Attempt unauthorized ownership claims
- Reverse engineer backend validation systems
- Interfere with platform security
Violations may result in account termination.
10. Intellectual Property
All artwork designs, branding, systems, and platform software are protected intellectual property.
Ownership of a physical artwork does not grant:
- Commercial reproduction rights
- Trademark rights
- Licensing rights
- Distribution rights
Unless explicitly granted in writing.
11. Limitation of Liability
To the fullest extent permitted by law:
IRIS shall not be liable for:
- Loss of artwork
- Loss of access to email accounts
- Technical downtime
- Third-party service interruptions
- Market value fluctuations
- Shipping delays
- NFC hardware malfunction beyond reasonable control
The Platform is provided “as is” and “as available.”
12. Marketplace (Future Feature)
IRIS may introduce a peer-to-peer marketplace.
The Platform:
- Is not a market maker
- Does not guarantee transactions
- Does not guarantee pricing
- Does not guarantee buyer availability
Additional terms will apply upon launch.
13. Modifications
IRIS may update these Terms as the Platform evolves.
Continued use constitutes acceptance of updated Terms.
14. Governing Law
These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.
